By applying for a wholesale account, accessing the Site, or placing an order, you agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

1. WHOLESALE ACCOUNT ELIGIBILITY & REGISTRATION

  • B2B Only: This Site operates strictly as a business-to-business (B2B) platform. We do not sell directly to individual retail consumers.
  • Verification: To access wholesale pricing and place orders, you must create an account and provide valid business documentation, including a registered business name, Employer Identification Number (EIN) or VAT number, and a valid resale certificate.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to accept responsibility for all activities that occur under your account.

2. PRICING, ORDERS, AND MINIMUM ORDER QUANTITIES (MOQ)

  • Wholesale Pricing: Prices displayed on the portal are proprietary and confidential. We reserve the right to adjust wholesale pricing at any time without prior notice due to market fluctuations or supply costs.
  • Minimums: All orders are subject to Minimum Order Quantities (MOQ) or minimum order financial values as specified on our product pages or order portal.
  • Order Acceptance: Receipt of an electronic order confirmation does not signify our final acceptance of your order. We reserve the right to limit order quantities or refuse service to any business entity at our sole discretion.

3. PAYMENT TERMS

  • Payment Methods: We accept major corporate credit cards, bank wire transfers, and verified digital payment methods.
  • Net Terms: Credit terms (e.g., Net 30) are not granted automatically. Buyers wishing to establish credit terms must submit a formal credit application. If approved, late payments will accrue interest at a rate of 1.5% per month or the maximum rate permitted by law.
  • Tax Exemption: Buyers are responsible for providing valid tax exemption certificates. If a valid certificate is not on file, applicable sales taxes will be added to the invoice.

4. SHIPPING, FREIGHT, AND DELIVERY

  • FOB Origin: Unless otherwise agreed upon in writing, all wholesale shipments are sold FOB (Free on Board) Origin from our warehouse. Risk of loss and title to the goods pass to the buyer once the shipment is handed over to the carrier.
  • Logistics Charges: The buyer is responsible for all freight, shipping, customs duties, LTL (Less Than Truckload) fees, and liftgate charges unless a promotional freight agreement applies.
  • Delivery Windows: Delivery dates provided are estimates only. Stockik LLC is not liable for any logistical delays caused by third-party shipping carriers, customs clearance, or force majeure events.

5. INTELLECTUAL PROPERTY & RESELLING GUIDELINES

  • Brand Ownership: All content, logos, text, graphics, and product media on the Site are the exclusive intellectual property of Stockik LLC or its manufacturing partners.
  • Resale Restrictions: By purchasing from us, you agree to comply with any authorized reseller policies provided. Unauthorized third-party marketplace listings (e.g., selling on Amazon, eBay, or Walmart without our explicit written consent) may result in the immediate termination of your wholesale account.

6. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Stockik LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, or business interruption, arising out of or related to the use of our products or platform. Our total liability for any claim arising under these terms shall not exceed the total amount paid by you for the specific order giving rise to the claim.

7. GOVERNING LAW AND DISPUTES

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Stockik LLC is legally registered, without regard to its conflict of law principles. Any legal action or dispute arising out of these Terms shall be settled exclusively in the designated courts of our home jurisdiction.
